PLEASE READ THESE TERMS OF SERVICE (“TERMS”) CAREFULLY BEFORE USING THE SERVICES OFFERED BY 99 PCT Jesus, LLC.
BY MUTUALLY EXECUTING ONE OR MORE ORDER FORMS WITH MARLIE AI, A PRODUCT FROM 99 PCT Jesus, LLC WHICH REFERENCE THESE TERMS (EACH, AN “ORDER FORM”), YOU (“CUSTOMER”) AGREE TO BE BOUND BY THESE TERMS (TOGETHER WITH ALL ORDER FORMS, THE “AGREEMENT”) TO THE EXCLUSION OF ALL OTHER TERMS. IN ADDITION, ANY ONLINE ORDER FORM WHICH YOU SUBMIT VIA MARLIE AI'S STANDARD ONLINE PROCESS AND WHICH IS ACCEPTED BY 99 PCT Jesus, LLC SHALL BE DEEMED TO BE MUTUALLY EXECUTED. IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF AN ENTITY, THEN YOU REPRESENT AND WARRANT THAT YOU ARE AUTHORIZED TO BIND SUCH ENTITY TO THE TERMS OF THIS AGREEMENT. IF THE TERMS OF THIS AGREEMENT ARE CONSIDERED AN OFFER, ACCEPTANCE IS EXPRESSLY LIMITED TO SUCH TERMS.
1. Evaluation Services
If you are accessing the Service on a free, pilot, unpaid, trial, beta, demonstration, pre-release, evaluation, testing or similar basis (collectively, “Evaluation Services”) including, without limitation, during the Pilot Period (as defined below) then unless otherwise indicated on an applicable Order Form, certain of 99 PCT Jesus, LLC's obligations under this Agreement will not apply, as further described below.
2. Order Forms; Access to the Service
Upon mutual execution, each Order Form shall be incorporated into and form a part of the Agreement. For each Order Form, subject to Customer's compliance with the terms and conditions of this Agreement (including any limitations and restrictions set forth on the applicable Order Form) 99 PCT Jesus, LLC grants Customer a nonexclusive, limited, personal, nonsublicensable, nontransferable right and license to internally access and use the Marlie AI product(s) and/or service(s) specified in such Order Form (collectively, the “Service,” “Services,” or “Core Service”) during the applicable Order Form Term (as defined below) in connection with the Customer tools provided to end users (“End Users”), only as provided herein and only in accordance with 99 PCT Jesus, LLC's applicable official user documentation for such Service (the “Documentation”).
3. Implementation
Upon payment of any applicable fees set forth in each Order Form, 99 PCT Jesus, LLC agrees to use reasonable commercial efforts to provide standard implementation assistance for the Service only if and to the extent such assistance is set forth on such Order Form (“Implementation Assistance”). If 99 PCT Jesus, LLC provides Implementation Assistance in excess of any agreed-upon hours estimate, or if 99 PCT Jesus, LLC otherwise provides additional services beyond those agreed in an Order Form, Customer will pay 99 PCT Jesus, LLC at its then-current hourly rates for consultation. This Section 3 does not apply to Evaluation Services.
4. Service Updates; Experimental Features
From time to time, 99 PCT Jesus, LLC may provide upgrades, patches, enhancements, or fixes for the Services to its customers generally without additional charge (“Updates”), and such Updates will become part of the Services and subject to this Agreement; provided that 99 PCT Jesus, LLC shall have no obligation under this Agreement or otherwise to provide any such Updates. Customer understands that 99 PCT Jesus, LLC may make improvements and/or modifications to the Services at any time in its sole discretion which may include, without limitation, experimental features or functionality and testing variations on message content and delivery; provided that 99 PCT Jesus, LLC shall use commercially reasonable efforts to give Customer reasonable prior notice of any major changes that might adversely impact Customer's use of the Services or which would modify existing features or functionality of the Services as configured by Customer. In the event that 99 PCT Jesus, LLC provides Customer with access to Evaluation Services or other experimental features or functionality, as may be indicated on the Services or otherwise by 99 PCT Jesus, LLC, then Customer acknowledges and agrees such Evaluation Services or other features or functionality are experimental in nature, are provided “AS IS”, and may not be functional on any machine or in any environment.
5. Ownership; Feedback
As between the parties, 99 PCT Jesus, LLC retains all right, title, and interest in and to the Services, and all software, products, works, and other intellectual property and moral rights related thereto or created, used, or provided by 99 PCT Jesus, LLC for the purposes of this Agreement, including any copies and derivative works of the foregoing.
6. SMS and MMS Messaging Terms
This section applies to any person who enrolls in or receives messages from an SMS or MMS messaging program operated by Marlie AI, a product of 99 PCT Jesus, LLC, whether or not that person is a Customer under the rest of these Terms.
Program Messages
Depending on the program, messages may include requested information or links, appointment and service updates, reminders, call follow-ups, missed-transfer notices, review requests, account and support notices, and evaluation or testing messages. Some programs may send recurring messages using automated technology. Marketing or promotional messages may be sent only where the sender has obtained any consent required by law.
Participation and Consent
Participation is voluntary. These Terms and our Privacy Policy do not themselves constitute consent to receive text messages. A recipient joins a particular messaging program only through the separate opt-in method presented for that program. Consent is limited to the identified sender and messaging purpose, and consent to receive marketing messages is not a condition of purchase.
Frequency, Charges, Opt-Out, and Help
Message frequency varies based on your interactions, requested services, calls, jobs, replies, and settings. Message and data rates may apply. Reply STOP to the number that sent a message to stop messages from that sender and program. You may receive one final confirmation message. Reply HELP for help, email support@marlie.ai, or call (917) 507-2115. Carriers are not liable for delayed or undelivered messages, and delivery is not guaranteed.
Customer Responsibilities
A Customer that configures or triggers messages through the Services must have lawful authority to contact each recipient and must obtain any sender- and purpose-specific consent required by law. The Customer must identify itself accurately, provide required disclosures, retain evidence of consent, honor opt-outs, and use current recipient data. Consent may not be bought, sold, or transferred. Customers may not use the Services for unlawful messaging, unauthorized marketing, or purchased contact lists.
Privacy
Our handling of mobile information is described in the SMS and MMS Messaging section of our Privacy Policy. Mobile information and messaging consent are not shared with third parties or affiliates for their own marketing or promotional purposes.
